We are acting for a company which is registered in

England under the Companies Acts and which transacts business

in Shanghai.

By Section 34 (1) of the Companies (Consolidation)

Act 1908 a Company whose objects comprise the transaction

of business in a Colony may cause to be kept in the Colony

a branch register of members.

By the Foreign Jurisdiction Acts 1890 and 1915 por er

is given by Order in Council to direct that (inter alia)

Sections 34, 35 and 36 of the Companies (Consolidation)

Act 1908 shall apply to any foreign country in which His

Majesty has jurisdiction or power.

By the Companies Act 1928, Section 10 (which, of

course, is not yet in force) a Company whose objects com-

prise the transaction of business in any part of His

Majesty's Dominions outside Great Britain may cause a branch

register of members to be kept in that part and by sub-

section 5 of Section 10 power is given by Order in Council

to direct that Sections 34 to 36 of the 1908 Act (including

any amending or substituted enactments) shall extend to any

territories under His Majesty's protection to which those

Sections cannot be extende under the Foreign Jurisdiction

Acts 1390 and 1913.

We shall be much obliged if you will inform us:-

(1) Whether Shanghai is a foreign country in which His

Majesty has jurisdiction or power to which, under the
